Executive Compensation & Employee Benefits Associate

A leading global law firm is seeking an Associate Attorney with 2-4 years of experience to join its highly regarded Executive Compensation & Employee Benefits Practice Group in Austin, Texas.

This is an outstanding opportunity to work with a nationally recognized team advising public and private companies, executives, boards of directors, and investors on a broad range of executive compensation and employee benefits matters. The successful candidate will gain exposure to sophisticated transactional, compliance, and governance work while collaborating with attorneys across multiple offices.

Responsibilities

  • Advise clients on executive compensation arrangements, including employment agreements, severance agreements, change-in-control agreements, and retention arrangements.
  • Assist with the design, implementation, and administration of equity compensation plans and incentive compensation programs.
  • Counsel clients on compensatory partnership interests and related compensation structures.
  • Support ESOP transactions and ongoing ESOP compliance matters.
  • Provide guidance on employee benefits issues arising in mergers, acquisitions, and other corporate transactions.
  • Conduct legal research, draft agreements and plan documents, and assist with regulatory compliance matters.

Qualifications

  • J.D. from an accredited law school with a strong academic record.
  • 2-4 years of experience in one or more of the following areas:
    • Executive compensation
    • Equity incentive plans
    • Executive employment arrangements
    • Compensatory partnership interests
    • ESOP transactions
    • Employee benefits
  • Exceptional analytical, drafting, and communication skills.
  • Strong attention to detail and ability to manage multiple matters simultaneously.
  • Interest in developing a long-term career within a collaborative, nationally recognized practice.

Bar Requirements

  • Texas Bar membership preferred.
  • Candidates not currently admitted in Texas must obtain Texas Bar admission within one year of commencing employment.
